GENERAL CONDITIONS OF COOPERATION

1. Orders for the products manufactured by Rosiński i Spółka S.A. Zakład Produkcji Opakowań shall be placed in writing.

2. Rosiński i S-ka S.A. undertakes to realize an order within 2 weeks from its confirmation.

3. Orders are realized in quantities being multiples of packages for bottles and caps. A basic package is a pallet.

4. Minimum quantity of ordered bottles and caps is 20. 000 pcs. The production of 1 product type in different colours is possible, but in a quantity not lower than 10. 000 pcs. of 1 colour, with respect to the provisions of point 3.

5. Orders for standard products, which are on stock at the time constitute an exeption to point 4.

6. First three samples of a colour or a raw material are free of charge. Any next sample is charged PLN 350 (for each colour, concetration, raw material).

7. All amounts due for Rosiński i Spółka S.A. Zakład Produkcji Opakowań are monitored by Biuro Windykacji Należności Coface Intercredit (a debt-collector). Until granting a trade credit facility, the only payment conditions are advanced payment or cash.

8. Some of packages are registered designs, which implies that they cannot be sold to companies coming from the markets covered by the reservation. The producer of packaging is not responsible for a final market destination of products. The list of registered designs is available on our web site.

9. If not specified to the contrary, the price of the goods purchased from ROSIŃSKI does not include the value of returnable packages or pallets used to pack and deliver the goods. Rosiński i Spółka S.A. Zakład Produkcji Opakowań keeps detailed settlements of all the returnable packages sent with the goods (Euro pallets , trays, cartons). Unreturned packages are invoiced quarterly, at the following price rates: Euro pallets – 100% of their original value, trays and cartons – 80% of their original value (the exception may be Euro pallets sold directly with ordered goods in individual cases).

10. Transactions, the total value of which does not exceed PLN 1. 000 gross, are paid in cash or by advanced payment.

11. The goods produced comply with specifications.

12. Complaints are accepted only in case of any inconsistency as regards samples and specifications approved by a customer in writing.

13. Rosiński i S-ka SA can keep ordered goods on stock free of charge for 3 months after the production date. If the items produced are not collected within that period, the Buyer will be charged for storage – PLN 40 / pallet / each month. Rosiński i S-ka has the right to utilize not collected items at the Buyer’s expense if the Buyer does not fulfill his obligation to collect the items ordered within the period of time specified by the Producer. The costs of utilization cannot be lower than 100 % of the value of the uncollected goods. The costs of utilization include the cost of manufacturing of the goods (the cost of raw material, power, labour, fixed cost, the cost of management and administration, logistic, amortization, lost profits) and the cost of utilization service of the goods. The abovementioned rights shall be exercised without prejudice to the right to seek compensation based on a general principle.

14. The goods purchased from Rosiński i S-ka SA constitute the property of the company until the Buyer realizes the payment for them.
